摘　要:农村信用社（简称“农信社”）经过近几年的改革与发展，各方面均取得一定成果。但在股权设置、法人治理机制建设，特别是内部组织结构的完善等方面仍存在很多问题。本文从新制度经济学的视角，利用交易成拳、制度的供给、需求与均衡等理论对农信社内部治理结构中现存的问题及其原因进行了系统分析和深入探究。最后从制度创新的角度对新时期如何进一步优化农信社内部治理结构，促进其可持续健康发展提供了一种新型制度设计——职工代表大会制度。[著者文摘]

Reforms of Property-Right and Governance Structure of Rural Credit Cooperatives. An Institutional Economic PerspectiveAbstract:While Rural Credit Cooperatives （RCC） have made gradual progress through recent reforms, they are still beset with many problems, including the stockholder＇s share structure and governance-mechanlsm construction, especially RCC structural optimization. This paper uses transaction theory, institution supply, demand and equilibrium theory to analyze the problems and reasons in RCC governance.
